1. Acceptance of Terms

By accessing or using the Pasaana website, technology platform, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Pasaana provides AI-powered mortgage technology and blockchain-based record-keeping infrastructure for institutional clients. The Service includes:

• AI-powered underwriting automation and loan file validation
• Blockchain-based immutable loan record keeping
• Administrative dashboards and reporting tools
• The Pasaana website and related informational content
• Client onboarding, integration support, and ongoing platform access

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding agreements on behalf of your organization
• Not be prohibited from using the Service under applicable law

Access to the technology platform requires an active client agreement between your organization and Pasaana.

4. Account Registration and Access

When you or your organization creates an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your credentials and access
• Accept responsibility for all activities conducted under your account
• Notify us immediately of any unauthorized access or use

5. Client Data and Ownership

Clients retain full ownership of all data submitted to the platform ("Client Data"). By using the Service, you grant Pasaana a limited right to process Client Data solely for the purpose of providing the Service.

• Client Data is processed on behalf of and under the direction of the client
• Pasaana will not use Client Data for any purpose other than delivering the Service
• Client Data will not be shared with other clients or third parties except as required to operate the platform or as required by law
• Upon termination, Client Data will be handled in accordance with the terms of that agreement

6. Platform Output and Decisions

By using the Service, you acknowledge that:

• Platform outputs are tools to assist your decision-making, not a substitute for professional judgment
• Your organization retains full responsibility for all lending, acquisition, and compliance decisions
• Pasaana does not provide legal, financial, or regulatory advice
• AI-generated outputs should be reviewed in accordance with your organization's policies and applicable regulations

7. Confidentiality

Both parties agree to:

• Keep all confidential information strictly confidential
• Not disclose confidential materials to unauthorized parties
• Use confidential information only for the purposes of the Service
• Return or destroy confidential materials upon request or termination

8. Data Security

Pasaana implements institutional-grade security measures to protect the Service and all data processed through it. For more details, please refer to our Privacy Policy.

9. Intellectual Property

All content, software, models, algorithms, documentation, and technology underlying the Service are the property of Pasaana or its licensors and are protected by intellectual property laws. Client Data remains the property of the client at all times.

10. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Provide false or misleading information
• Access accounts, data, or systems belonging to others
• Interfere with the security or operation of the Service
• Use automated systems to access the Service without authorization
• Attempt to reverse-engineer, decompile, or extract the underlying technology
• Share your account credentials with unauthorized individuals

11. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• Pasaana is not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid by you in the preceding 12 months
• Pasaana is not responsible for decisions made using platform outputs

13. Indemnification

You agree to indemnify and hold harmless Pasaana, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

14. Termination

We may suspend or terminate your access to the Service for violation of these Terms or as otherwise specified in your client agreement. Upon termination, your right to access the platform ceases, and data handling will follow the provisions of your client agreement and our Privacy Policy.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
